Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Cadence AI (the “Service”), operated by Cadence AI (“Cadence,” “we,” “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Cadence is an AI music creation studio: you generate music from text prompts, then edit it using separated stems, a mixer, and other tools in your browser. Features and limits may change as we improve the Service.
2. Eligibility & your account
You must be at least 16 years old (or the age of digital consent in your country) to use the Service. You are responsible for your account, for keeping your login credentials secure, and for all activity under your account. Authentication is handled by our provider, Clerk.
3. Plans, billing & cancellation
- ✓Paid subscriptions are billed in advance through Stripe and renew automatically each period until cancelled.
- ✓You can cancel anytime from your billing settings; cancellation takes effect at the end of the current paid period, and you keep access until then.
- ✓The free plan is provided as-is, is watermarked, and is for personal, non-commercial use.
- ✓Except where required by law, payments are non-refundable. Prices and plan limits may change with notice for future billing periods.
4. Your content & ownership
You retain your rights in the prompts, audio, and projects you create with the Service (“Your Content”), subject to the rights of any third-party inputs you provide. The commercial rights you receive depend on your plan: free-plan output is watermarked and for personal use, while paid plans include a license to use your tracks commercially. You grant Cadence a worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate and provide the Service to you.
The legal status of AI-generated material is still developing and varies by jurisdiction. We make no representation that AI-generated output is eligible for copyright protection, and you are responsible for how you use it.
5. Acceptable use
You agree not to use the Service to:
- ✓Create or distribute content that is illegal, infringing, defamatory, hateful, or that violates anyone’s rights.
- ✓Submit prompts or material that infringe others’ intellectual property, or attempt to recreate a real, identifiable person’s voice or likeness without their consent.
- ✓Reverse engineer, scrape, overload, or circumvent limits or security of the Service.
- ✓Resell or redistribute the Service itself, or use it to build a competing product.
6. AI & voice policy
All AI voices offered through the Service are synthetic and labeled as such. The Service may not be used to impersonate real people or to clone a real person’s voice without their explicit consent. We may remove content or suspend accounts that violate this policy.
7. Our intellectual property
The Service — including its software, design, models we provide, and branding — is owned by Cadence and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, revocable, non-transferable license to use the Service; they do not transfer any ownership of the Service to you.
8. Third-party services
The Service relies on third-party providers (such as Clerk, Stripe, and AI model providers) and may let you connect external accounts (such as SoundCloud or YouTube). Your use of those services is governed by their own terms, and we are not responsible for them.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated output will meet your expectations.
10. Limitation of liability
To the maximum extent permitted by law, Cadence will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $100.
11. Indemnification
You agree to indemnify and hold Cadence harmless from claims, damages, and expenses arising out of Your Content or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that risks harm to us or others. Provisions that by their nature should survive termination (such as ownership, disclaimers, and limitation of liability) will survive.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after a change means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the United States and the state in which the operator of Cadence AI is established, without regard to conflict-of-laws principles. Disputes will be resolved in the courts located in that jurisdiction.
